Terms & Conditions

1.1 The Parties
These Terms and Conditions ("Terms," "Agreement") constitute a legally binding contract between you ("User," "Customer," "you," or "your") and The Business Club Inc., a Virginia corporation ("Company," "we," "us," or "our"), the owner and operator of ProgressTracker Pro, accessible at progresstrackerpro.com ("Service," "Platform," "Application").

1.2 Acceptance
Your access to and use of the Service constitutes your full and unconditional acceptance of these Terms. If you are using the Service on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.

1.3 Age Requirement
You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old.

1.4 Updates to Terms
The Business Club Inc. reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and/or by sending an email to your registered address. Your continued use of the Service after such notification constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service immediately.

2.1 Service Overview
ProgressTracker Pro is a cloud-based project completion tracking platform that enables individuals and teams to:

• Track progress across multiple projects simultaneously using visual thermometer-style gauges
• Manage tasks including creation, assignment, prioritization, and completion
• Receive AI-powered project suggestions powered by third-party artificial intelligence technology
• Collaborate with team members on shared projects
• Generate reports and export project data
• Access historical project completion records

2.2 Third-Party Services
The Service integrates with third-party services including but not limited to:

• Stripe Inc. for payment processing
• OpenAI for AI-powered suggestions
• Supabase for database and authentication services
• Vercel for hosting services

3.1 Account Creation
To access the Service, you must create an account by providing accurate, current, and complete information including your full name, email address, and a secure password. You agree to maintain and promptly update your account information to keep it accurate, current, and complete.

3.2 Account Security
You are solely responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Any and all actions taken using your account credentials
• Immediately notifying The Business Club Inc. of any unauthorized use of your account

3.3 One Account Per User
Each individual may maintain only one active account. Creating multiple accounts to circumvent subscription limits, trial restrictions, or any other platform limitation is strictly prohibited and may result in immediate termination of all associated accounts without refund.

4.1 Trial Period
The Business Club Inc. offers a seven (7) day free trial ("Trial Period") to new users. The Trial Period begins on the date you create your account.

4.2 Trial Limitations
During the Trial Period, your access to the Service is limited to:

• A maximum of three (3) active projects
• All core features as available at the time of trial
• Access without providing payment information

4.3 Trial Expiration
Upon expiration of the Trial Period:

• Your projects will become read-only
• You will not be able to create new projects or add new tasks
• Your data will be retained for thirty (30) days pending subscription activation
• After thirty (30) days without subscription activation, your account and all associated data may be permanently deleted

5.1 Subscription Plans
Upon expiration of the Trial Period, continued access to the Service requires a paid subscription. The Business Club Inc. currently offers the following subscription plans:

• Solo Plan: $29.00/month — 1 user, individual project tracking with all core features
• Pro Plan: $39.00/month — 1 project leader + up to 9 collaborators, team collaboration features
• Enterprise Plan: $149.00/month — up to 5 full owner accounts, $25/month per additional user

5.2 Pricing Changes
The Business Club Inc. reserves the right to change subscription pricing at any time. You will be notified of price changes at least thirty (30) days in advance via email. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

5.3 Refund Policy
All subscription fees are non-refundable except in the following circumstances:

• Technical Failure: If the Service experiences a verified outage of more than 72 consecutive hours due to causes within our reasonable control, you may be eligible for a prorated credit
• Billing Error: If you are charged incorrectly due to a technical error on our part, we will issue a full refund of the erroneous charge
• Required by Law: Where required by applicable Virginia law or federal law

5.4 Promotional Codes
Promotional codes ("Promo Codes") may be issued at the sole discretion of The Business Club Inc. Promo Codes:

• Are valid for one-time use unless expressly stated otherwise
• Cannot be combined with other offers unless expressly stated
• Have no cash value and cannot be transferred
• May be subject to expiration dates and usage limits
• May be revoked at any time if misuse is suspected

You agree NOT to:

• Attempt to gain unauthorized access to any portion of the Service or its related systems
• Introduce viruses, malware, or any other malicious code
• Share your account credentials with unauthorized third parties
• Create multiple accounts to circumvent limitations
• Resell, sublicense, or otherwise commercialize access to the Service without written authorization
• Use the Service to develop competing products or services

The Service, including but not limited to its software, design, graphics, logos, text, features, and functionality, is owned by The Business Club Inc. and is protected by United States and international intellectual property laws. "ProgressTracker Pro" and "The Business Club Inc." are trademarks of The Business Club Inc.

You retain full ownership of all content, data, project information, tasks, and other materials you submit to the Service. By submitting content, you grant The Business Club Inc. a limited, non-exclusive, royalty-free license to host, store, process, and display your content solely for the purpose of providing the Service to you.

ProgressTracker Pro includes AI-powered features that generate Project Management AI Advisor recommendations using third-party artificial intelligence technology provided by OpenAI. You acknowledge and agree that:

• Project Management AI Advisor recommendations are provided for informational and productivity purposes only
• Project Management AI Advisor recommendations may be inaccurate, incomplete, or inappropriate for your specific situation
• The Business Club Inc. makes no warranty regarding the accuracy or reliability of Project Management AI Advisor content
• You are solely responsible for evaluating and acting upon any Project Management AI Advisor recommendations

You agree to indemnify, defend, and hold harmless The Business Club Inc., its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your violation of any third-party rights
• Your violation of any applicable law or regulation

11.1 Informal Resolution
Before initiating any formal dispute process, you agree to first contact The Business Club Inc. at info@progresstrackerpro.com and provide a written description of the dispute. The parties agree to attempt to resolve the dispute informally for a period of thirty (30) days from the date of notification.

11.2 Mandatory Mediation
If the dispute cannot be resolved informally within thirty (30) days, the parties agree to submit the dispute to non-binding mediation before proceeding to arbitration or litigation. Mediation shall be conducted in Chesapeake, Virginia or via video conference by mutual agreement.

11.3 Binding Arbitration
If mediation does not resolve the dispute, any and all claims, disputes, or controversies arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration shall be conducted:

• Language: English
• Rules: American Arbitration Association Commercial Arbitration Rules

11.4 Class Action Waiver
YOU AND THE BUSINESS CLUB INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11.5 Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia. For any matters not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Chesapeake, Virginia or the greater Hampton Roads area of Virginia.

The user who purchases the Pro Plan ("Project Leader") is responsible for managing team member access and permissions, ensuring all team members comply with these Terms, all activities conducted by team members under the shared account, and payment of the Pro Plan subscription fee.

The Pro Plan includes access for up to ten (10) users total (1 project leader + up to 9 collaborators). Collaborators may not create their own projects, invite other members, or access billing settings. If a collaborator wants their own projects, they must purchase their own separate subscription.

The Business Club Inc. reserves the right to suspend or terminate your account and access to the Service, with or without notice, for any reason, including but not limited to violation of these Terms, non-payment of subscription fees, fraudulent or illegal activity, or extended periods of account inactivity.

Upon termination, your right to access the Service ceases immediately, and your data will be retained for thirty (30) days before permanent deletion.
